The Paul Davis Restoration “The Fire Safety Project” Video Contest

• ONE SUBMISSION / ENTRY PER PARTICIPANT.
• CONTEST IS LIMITED TO STUDENTS OF A PUBLIC OR PRIVATE SCHOOL IN THE STATE OF FLORIDA. THIS CONTEST IS NOT OPEN TO ANY OTHER INDIVIDUALS, CORPORATE ENTITIES OR ORGANIZATIONS OF ANY KIND.

Sponsor
The sponsor of this Contest is Paul Davis Restoration, Inc. (“Sponsor” or “Paul Davis”), 1 Independent Drive, Suite 2300, Jacksonville, Florida, U.S.A. 32202.

Contest Objective and Description
The objective of the Paul Davis “The Fire Safety Project” Video Contest (the “Contest”) is to provide an opportunity for students to make a difference by sharing, in video format, how they would execute a Public Service Announcement (PSA) regarding the importance of fire safety and the impact it makes on the community and/or environment.

The student or student groups that desire to participate in the Contest should determine the subject matter for their PSA video, film the PSA of up to 2 minutes (recommended) and upload the video before the due dates onto the Contest website www.thefiresafetyproject.com.

Eligibility
• The entrants must be at the time of contest entry and prize award legal United States residents who are legally enrolled students in K – 12, college or university institutions in Florida that are either government regulated or privately funded. Determination as to whether a school is properly accredited and/or a winner is properly enrolled in a school shall be made by the Sponsor in its sole discretion, and winners will be responsible for promptly providing any documentation relating thereto requested by Sponsor. Sponsor reserves the right to call the school directly to verify information regarding the school and its consent to participate in the contest.
• Entrants must obtain written permission from an authorized teacher or administrator of such school.
• If the entrant is not the age of majority in his or her state of residence, entrants must have parental permission to enter the Contest.
• All submissions are required to click a radio button affirming that their video is original and that (if not the age of majority in state of residence) that they have parental permission to enter the contest. If any entry is received without the radio button clicked, it will be deemed to be incomplete. Incomplete entries will be disqualified.

The following individuals are not eligible to enter and their entries will not be considered: Children of employees of Paul Davis or any other sponsors of the Contest or any of their respective parents, subsidiaries and affiliated companies, or any promotion, advertising, judging or public relations company doing business with any of the above, or any of their respective parents, subsidiaries and affiliated companies, or a member of the immediate family (parent, children, siblings, spouse, regardless of where they live) or any individual living in the same household of such employees (whether related or not).

Sponsor will work exclusively with the Teacher / School Administrator / Student with regards to this Contest.

Void in all US states (except Florida), Puerto Rico, all other non-state U.S. territories and possessions (including the District of Columbia), and where prohibited or where registration, bonding or translation required.

Contest Period / Voting Period
Contest begins September 1, 2010 at 12:01 A.M. Eastern Time (“ET”), and ends November 19, 2010 at 11:59 P.M. ET (“Contest Period”). Voting commences on November 20, 2010 at 12:01 ET and ends November 30 at 11:59 P.M. ET (“Voting Period”).

How to Enter

THERE IS NO PURCHASE NECESSARY TO ENTER.

During the Contest Period, go to www.thefiresafetyproject.com, follow the instructions provided to complete the registration process. A video must be uploaded during Contest Period in order to qualify as an “Entry”. Entries submitted via any other method, including but not limited to, U.S. Postal Service, hand delivery, facsimile or other express delivery services, will NOT be accepted. Although more than one person may appear in a video submission, only a single person may be identified as the Entrant of the submission, and only that person will be eligible to win the Grand Prize for his or her school, subject to meeting eligibility criteria.

Video file must be no greater than 200 MB and must be compressed to a minimum width of 500 pixels in either aspect ratio: 4×3 or 16×9. Almost all submission file formats/codecs are acceptable. To optimize the quality of the video, and therefore the chances of winning, we recommend that Students review the video uploading guidelines on The Fire Safety Project website.

Video may not have a maximum running time in excess of two (2) minutes in length (including credits); videos that are longer will be refused.

Students are only eligible to register once during Contest Period. Any other entries made during the Contest Period will be void at the Sponsor’s discretion.

Each entry submitted must include a unique video of up to two (2) minutes in length. Videos must be submitted in the English language. All entries must be received by 11:59 P.M. ET on November 19, 2010. Entries not submitted in accordance with the instructions provided on Sponsor’s website and the terms and conditions herewith, shall not be considered in the Contest and Sponsor shall bear no responsibility for any such misdirected entries.

Determining the Grand Prize Winner
The Grand Prize Winner will be announced on Paul Davis’ The Fire Safety Project website no later than 5:00 P.M. ET, Wednesday, December 8, 2010. As of 12:01 A.M. ET on November 20th till 11:59 P.M. ET on November 30th visitors to The Fire Safety Project YouTube Channel  will have the opportunity to vote for video that they feel should deserve to win based on the below-referenced judging criteria. Limit one vote per registered user. The Finalist with the highest number of votes (as calculated by Sponsor as of 11:59 P.M. ET on November 30, 2010) shall be deemed the grand prize winner (“Grand Prize Winner”). One (1) Grand Prize Winner will be certified by Sponsor on December 1, 2010 at www.thefiresafetyproject.com.

Judging Criteria
Judging criteria for video submissions will consist of the following: (1) originality and creativity of each submission; (2) consumer/commercial appeal of the submission; (3) overall quality of the submission; and (4) the submission’s success in capturing “The Fire Safety Project” Video Contest theme. The theme of this contest is promotion of fire safety prevention and awareness. The Grand Prize winner will be selected based on the foregoing criteria in the sole discretion of the voters, which decision will be final, subject to verification of selected winner’s eligibility.

Prizes
Prize currency is USD.

The Grand Prize Winner‘s school will receive $10,000 in cash awarded in the form of a check. The Grand Prize will be awarded at the school’s location at an agreed upon date in January 2011. One Grand Prize will be awarded for the Contest. The fire department that services that school will receive a check for $2,500.

Sponsor shall not have any responsibility or liability whatsoever for any property loss, damage, personal injury, or death, in connection with any person’s participating in the Contest or uploading of the videos including, without limitation, any damage to computer or computer systems.

Sponsor in its sole discretion may provide prize substitutions of equal or greater value. The Grand Prize Winner shall be required to execute and notarize an Affidavit of Eligibility and Liability Release and (except where prohibited) Publicity Release and return such forms to the Sponsor within ten (10) calendar days of notification from sponsor or an alternative winner shall be selected. A winner is not a recipient of a prize until he/she has been verified as a winner by the Sponsor.

Terms of Entry
By participating in the Contest, Student (and if not the age of majority in state of residence, his or her parent or guardian) assumes all responsibility for the content of the video Entry, Release Forms and other documentation and warrants that the video entry and all elements thereof:
1. are the original work of the Student, and that the Student has all rights necessary to submit the entry to the Contest, to perform the student’s obligations under these Official Rules, and to provide the license granted to the entry materials;
2. do not infringe or violate the rights of any third party, including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights, or any other intellectual property rights;
3. are not subject to any third party agreements or any encumbrances of any kind;
4. were made only after obtaining any required permits from local authorities and other permissions have been obtained; and
5. do not contain any content that is false defamatory, vulgar, profane, pornographic, abusive, hateful or degrading to any individual or group.
6. when containing photographs, artwork, or video taken or made by other persons; likenesses or voices of other persons; and/or music or audio composed, performed, or recorded by other persons the required Release Forms are obtained from the applicable person(s) (or by parent/legal guardian, if applicable person is a minor). Sponsor reserves the right to verify the legitimacy of all submitted Release Form(s). Release Form(s) must be executed in full and returned within 48 hours of notification if considered as the Grand Prize Winner. If the appropriate Release Form(s) are not received as directed, the entry will be disqualified.
7. that permission has been received by an authorized Teacher or School Administrator of any Students who are participating in this Contest.

The video should include age appropriate material for a target audience of students of all ages. All videos should meet the requirements as outlined in the “judging criteria” above. Students are strongly encouraged to contact their local fire department, library and teachers to help with their research. Videos should not contain any content of a risky or otherwise unsafe nature. UNDER NO CIRCUMSTANCES SHOULD A VIDEO CONTAIN FOOTAGE OF AN ACTUAL FIRE.

Sponsor reserves the right to disqualify during the Contest Period and take down any Entries that, in the Sponsor’s sole and absolute discretion, are in violation of any of the above terms of entry without any recourse on the part of the contestant.

Sponsor further reserves the right to disqualify any entry, for any reason, in its sole discretion. Neither Paul Davis Restoration, Inc. nor any of its parents, subsidiaries, affiliates and each of their respective officers, directors, shareholders, agents and employees, nor any Internet access providers (collectively “Released Parties”) are responsible for incorrect or inaccurate entry of information, human error, technical malfunction, lost/delayed data transmission, omission, interruption, deletion, defect, line failure of any telephone or other network, computer equipment, software or any combination thereof, inability to access the Paul Davis The Fire Safety Project website, for problems uploading or downloading any Contest-related materials from the web site, or for late, lost, damaged, misdirected, incorrect or incomplete entry. For purposes of these Official Rules, receipt of entry occurs when Sponsor’s servers successfully receive the uploaded video file and record the required entry information resulting from contestant clicking the “upload” button. Required Entry information includes the following as part of the video upload: video title, video description, and as part of the registration author’s name, school, street address, city, state, zip code, country, phone number and email address. Any entry information collected from the Contest shall be used only in a manner consistent with the consent given by entrants at the time of entry, with these Official Rules, and with Sponsor’s Online Privacy Policy and Terms of Use.

Ownership / Name and Likeness / Publicity
By submitting a video to this Contest, Student (and if not the age of majority in state of residence, his or her parent or legal guardian) automatically confers to Sponsor the irrevocable, perpetual, unconditional, nonexclusive and unrestricted, royalty-free right and permission to use the video for any and all purposes and in any media. This includes the right to copy, edit, reproduce, display, distribute or sublicense the video, and to make derivative works based upon the video or a substantial portion of it without attribution, compensation or prior permission. If your video is chosen as a winner, your parent or legal guardian must sign an agreement acknowledging this grant of rights to Paul Davis. All videos entered in the contest will become the sole property of Paul Davis. Paul Davis will not return any submission, so please keep a copy if you want one. Paul Davis reserves the right to destroy all the submissions once the contest has ended.

Entry in “The Fire Safety Project” Video Contest constitutes irrevocable permission for Sponsor and its licensees, and its and their successors, assigns and sub-licensees (collectively, “Licensee”) to use any or all contents of the Entry and all other materials submitted to Sponsor by Student(s) and (except where prohibited by law) each Student’s name likeness and biography for use in connection therewith, including for advertising and/or publicity purposes, worldwide and in any language, in all media and by all manners (now or hereafter known) and on and in connection with related products, services, advertising and promotional materials, in perpetuity, without further compensation or other consideration.

Grand Prize Notifications
Students will be notified by mail, telephone, and/or email on or about December 3, 2010. Each winner will be required to provide within 10 days of notification evidence satisfactory to Sponsor of status as a legal resident of the United States and enrollment as a student, a completed and signed Affidavit of Eligibility and Liability Release and (except where prohibited) a Publicity Release. In addition, a separate Talent Release Form (downloaded from the Paul Davis site) signed by each individual appearing in the video will be required to be submitted. Failure to return the required documents in a timely way, or the return of any notification as undeliverable for any reason, will cause the entry to be void. In the event that the Grand Prize Winner is disqualified for this or any other reason, Sponsor may substitute the Student video with the next highest vote count for such disqualified Grand Prize Winner, and/or remove disqualified Grand Prize Winner.

If a winner (or any individual appearing in a video) is not of the age of majority in their state of residence, all relevant documents must be confirmed, ratified and signed by the parent or legal guardian of the individual signing the document.

Sponsor will have no liability for any notification that is lost, intercepted or not received for any reason.

Disclaimer of Warranties / Release / Limitation on Liability
Student (and if not the age of majority in state of residence, his or her legal guardian) agrees that Sponsor and each of their respective parents, subsidiaries, affiliates, distributors, licensors, licensees, representatives, attorneys and advertising and promotion agencies, and each of their respective directors, officers, employees, agents, representatives, successors and assigns (“Released Parties”) (a) will not be responsible or liable for any losses, damages or injuries of any kind arising out of or related to Student’s participation in “The Fire Safety Project” Video Contest (including, without limitation, losses, damages or injuries to Contest participants’ or any other person’s equipment or other property, or to their persons, related to participation in the Contest; or arising out of any violation of rights of publicity or privacy, or claims of defamation or portrayal in a false light; or based on any claim of infringement of intellectual property or other rights arising out of the license granted under the Terms of Use; or from any typographical, human or other error in the printing, offering, selection, operation or announcement of any “The Fire Safety Project” Video Contest activity and/or Grand Prize and hereby releases and agrees to indemnify and hold Sponsor harmless from any such losses, damages or injuries), and (b) have neither made nor will be in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, in connection with the “The Fire Safety Project” Video Contest and/or any Grand Prize. Although Sponsor attempts to ensure the integrity of the “The Fire Safety Project” Video Contest, the Released Parties are not responsible for the actions of Contest participants in connection with the “The Fire Safety Project” Video Contest, including Student’s attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Contest. The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of any laws requiring the intent to release future unknown claims.

All Entry documents are provided for the benefit of Sponsor and Sponsor makes no representations or warranties regarding the effectiveness and completeness of the forms or procedures required. Sponsor and Sponsor’s legal counsel undertake no duties towards Students and do not represent them in any manner.

By entering the “”The Fire Safety Project” Video Contest, Student (and if not the age of majority in state of residence, his or her parent or guardian) agrees that:
1. any and all disputes, claims and causes of action arising out of or connected with the “The Fire Safety Project” Video Contest , or any prizes awarded, will be resolved individually, without resort to any form of class action;
2. any and all claims, judgments and damages will be limited to direct damages.  In no event will any party be responsible for punitive damages or the other party’s special, consequential or incidental damages or attorneys’ fees; and
3. Student’s remedies are limited to a claim for money damages (if any) and Student irrevocably waives any right to seek injunctive or equitable relief.

Suspension / Modification / Termination
Sponsor reserves the right, in its sole discretion, to modify, change, add to, delete, suspend or terminate these Official Rules, “The Fire Safety Project” Video Contest, and the Grand Prize for any reason whatsoever without giving notice to Students.

Sponsor additionally reserves the right, in its sole discretion:
1. to modify, suspend or terminate “The Fire Safety Project” Video Contest should causes beyond Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of “The Fire Safety Project” Video Contest; or
2. to disqualify any Student found to be, or suspected of
1. tampering with the entry process or the operation of the Contest (including without limitation the voting process);
2. acting in violation of these Official Rules;
3. in breach of the Terms of Use; or
4. acting in an offensive or disruptive manner or with the intent to annoy, abuse, threaten or harass any other person or entity.

Governing Law / Jurisdiction
The construction, validity, interpretation and enforceability of these Official Rules, the Entry documents or the rights and obligations of Student(s) or Sponsor in connection with “The Fire Safety Project” Video Contest will be governed by and construed in accordance with the internal laws of the State of Florida without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other states’ or provinces’ laws. Each party who participates in the Contest (and if not the age of majority in state of residence, his or her parent or guardian) irrevocably agrees that, if a dispute arises out of or relates to these Official Rules or any submission materials, such dispute(s) will be resolved solely by binding arbitration before a sole arbitrator, with experience in advertising or promotion and entertainment law, under the rules and regulations of the Florida Arbitration Code; provided, however, that notwithstanding the parties’ decision to resolve any and all disputes arising under this Contest through arbitration, Sponsor may nonetheless (1) seek to obtain injunctive relief or other equitable relief from a court to enforce the provisions of these Official Rules or the Entry documents; (2) bring an action in court to protect or interpret any Licensee’s purported intellectual property rights; and/or (3) bring an action to enforce the decision of the arbitrator before any court with jurisdiction. The arbitration will be held in (Florida location). The arbitrator will issue a written decision, and will have the power to award any legal remedies except as limited by these Official Rules, the Entry documents or the Affidavit of Eligibility and Liability Release.

Miscellaneous
The invalidity or unenforceability of any provision of these Official Rules, the entry documents or the Affidavit of Eligibility and Liability Release will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules, the entry documents or the Affidavit of Eligibility and Liability Release is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

Grand Prize Winner
The Grand Prize Winner, as well as the total number of Submissions received will be posted on http://www.thefiresafetyproject.com for sixty (60) days after the Grand Prize Winner are selected. The Grand Prize Winner will also be available by contacting Sponsor.

Sponsor may run multiple promotions and contests simultaneously. Entry in “The Fire Safety Project” Video Contest does not constitute entry into any other promotion, contest, sweepstakes or game.

BY PARTICIPATING IN “THE FIRE SAFETY PROJECT” VIDEO CONTEST, EACH STUDENT REPRESENTS AND WARRANTS THAT HE OR SHE MEETS THESE ELIGIBILITY REQUIREMENTS AND HAS READ, ACCEPTS AND WILL COMPLY WITH THESE OFFICIAL RULES AND THE SUBMISSION TERMS & GUIDELINES, AND THAT ANY VIOLATION THEREOF MAY DISQUALIFY STUDENT FROM THE CONTEST.
